Moras Terms of Service

Acceptance of Terms

By accessing or using the Services, you represent that you have read, understood, and agree to be bound by this Agreement, the Privacy Policy, and any Supplemental Agreements that may apply to specific features of the Services.

Moras may revise or update this Agreement at any time, and such revisions are effective immediately upon posting. Continued use of the Services constitutes acceptance of the revised terms.

Additional terms may apply to specific Services. Where there is a conflict between this Agreement and a Supplemental Agreement, the Supplemental Agreement governs for that Service.

Eligibility

The Services are intended solely for individuals who meet the applicable minimum age requirement. Users must be at least thirteen (13) years of age, and users accessing the Services from the European Economic Area or the United Kingdom must be at least sixteen (16) years of age. Users under the minimum age must have parental or legal guardian consent.

By using the Services, you represent and warrant that you have the legal capacity and authority to enter into this Agreement under applicable law and that your use of the Services complies with all applicable local, national, and international laws, including those relating to intellectual property, privacy, data protection, and anti-spam.

Account Registration

Certain Services require the creation of an account ("Account"). You agree to provide complete, accurate, and current information during the registration process and to update such information as necessary.

You are solely responsible for maintaining the confidentiality of your account credentials, including username, password, and any authentication codes, and for all activity occurring under your Account. You agree to notify Moras immediately of any unauthorized access or breach of security.

Users may not create multiple accounts for the same person or entity unless explicitly permitted by Moras. Moras may, at its sole discretion, require verification of your identity and supporting documentation, and may suspend, restrict, or terminate Accounts for violations of this Agreement, fraudulent activity, or operational reasons.

Upon termination, your right to access and use the Services shall immediately cease, and any licenses granted herein may also terminate unless expressly provided otherwise.

Intellectual Property and Content

Moras retains all rights, title, and interest in the software, AI models, algorithms, trademarks, and other proprietary elements of the Services.

Users retain ownership of content submitted to the Services ("Input") but grant Moras a non-exclusive, worldwide, royalty-free, sublicensable license to use Input for the purpose of operating and improving the Services, training AI models, and marketing.

Users are granted a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute Output generated by the Services, subject to applicable usage terms and compliance with this Agreement.

Users shall not reverse engineer, decompile, or attempt to extract AI models, sell or license the underlying AI technology, or use Output to create competing AI services.

Acceptable Use Policy and Content Restrictions

You agree to use the Services only in compliance with these Terms and all applicable laws. You shall not use the Services to:

• Create, generate, distribute, or facilitate any content that is illegal, harmful, abusive, obscene, defamatory, fraudulent, or otherwise violates applicable laws or third-party rights;
• Exploit, harm, or endanger minors, or infringe upon any third party's intellectual property rights, privacy rights, publicity rights, or other legal rights;
• Engage in spam, phishing, unauthorized solicitation, fraudulent activities, or any activity intended to deceive or harm others;
• Circumvent, disable, interfere with, or attempt to bypass any security features, usage restrictions, access controls, or technical safeguards of the Services;
• Extract, reverse engineer, copy, replicate, or misuse our AI models, systems, algorithms, software, or technical infrastructure;
• Create multiple accounts, manipulate platform mechanisms, or otherwise abuse the Services to obtain unauthorized credits, rewards, benefits, or other resources;
• Use the Services, AI-generated content, or platform-provided materials for unauthorized commercial purposes or in violation of applicable usage rights.

Unauthorized Use of Content and Platform Materials.

Without our prior written authorization, you may not:

• Remove, delete, hide, alter, or otherwise interfere with videos, content, links, attribution information, tracking mechanisms, or other materials published or distributed through the Services;
• Download, copy, reproduce, modify, create derivative works from, or redistribute AI-generated videos or other materials provided through the Services for independent commercial use or distribution;
• Republish, upload, or distribute content generated or provided through the Services through other accounts, platforms, or channels in a manner that bypasses Moras' content management, attribution, tracking, monetization, or revenue-sharing mechanisms;
• Take any action intended to circumvent product links, affiliate attribution, commission tracking, performance measurement, or other commercial systems operated through the Services.

Moras reserves the right, at its sole discretion, to monitor, review, restrict, remove, or refuse to process any content that violates these Terms or applicable laws. Moras may disclose user information where required by law or where reasonably necessary to address claims of infringement, fraud, security threats, or other violations.

We reserve the right to suspend or terminate any account that violates this Section or engages in activities that may adversely affect the security, integrity, or commercial operation of the Services.

Fees, Payments and Revenue Sharing

The Moras app is free to use. Moras does not offer paid subscriptions or require the purchase of tokens or credits. Daily usage limits may apply.

Separate partner programs may involve performance-based revenue sharing or other commercial arrangements governed by their applicable program rules or separate agreements.

Under separate partner arrangements, you agree that Moras may charge fees, commissions, or revenue shares based on sales, transactions, conversions, or other performance metrics generated through the Services. The applicable commission rates, calculation methods, attribution rules, settlement periods, and other commercial terms will be determined by the applicable program rules or separate agreements.

Sales, transactions, conversions, and commission calculations will be determined based on data recorded by Moras or its authorized third-party partners, including platform tracking systems, affiliate systems, transaction records, and other relevant data sources. Unless otherwise required by applicable law, such records will serve as the basis for determining whether a transaction or revenue activity is attributable to Moras and for calculating applicable fees, commissions, and revenue sharing amounts. Moras reserves the right to establish and update attribution rules, tracking mechanisms, and calculation methodologies from time to time.

Where certain sales, transactions, or revenue are determined not to be attributable to Moras, including revenue generated independently without using Moras' content, distribution, tracking, attribution, or monetization mechanisms, such amounts will not be subject to Moras' revenue sharing and may be credited to the user's Moras wallet in accordance with applicable program rules.

Users are responsible for providing accurate and complete payment information and complying with applicable payment requirements. Payments, commissions, and wallet credits will be processed according to the settlement schedules, procedures, and requirements established by Moras.

Moras may update partner commission rates, settlement fees, or payment terms from time to time. Any changes will apply only to future transactions, activities, or settlement periods after the effective date of such changes.

Except where required by applicable law or expressly provided by Moras, all fees, commissions, and other payments made or owed under these Terms are non-refundable.

If Moras determines that any fees, commissions, revenues, rewards, or other benefits have been obtained through unauthorized use of the Services, violation of these Terms, manipulation of tracking or attribution mechanisms, fraudulent activities, or other prohibited conduct, Moras reserves the right to withhold, adjust, reverse, or recover such amounts, including by deducting such amounts from future payments, wallet balances, or other amounts payable to the user.

Moras does not guarantee any specific sales volume, revenue, profit, or commercial outcome from the use of the Services. Actual performance may depend on factors beyond Moras' reasonable control, including product availability, market conditions, consumer behavior, platform policies, and third-party services.

Disclaimers and Limitation of Liability

The Services are provided "AS IS" and "AS AVAILABLE" without any warranties of any kind.

Moras is not liable for indirect, incidental, or consequential damages. Aggregate liability is limited to amounts paid by the user in the preceding twelve (12) months.

Moras is not responsible for any content provided by users or generated by the AI that may infringe third-party rights.

Indemnification

You agree to defend, indemnify, and hold harmless Moras from any claims, liabilities, or expenses arising from your use of the Services, your violation of this Agreement, infringement of third-party rights, or participation in marketing or promotional activities.

Termination

Moras may suspend, restrict, or terminate access to the Services at any time for violations of this Agreement, fraudulent activity, or operational reasons.

Users may also terminate their accounts voluntarily.

Upon termination, licenses granted under this Agreement may terminate unless expressly provided otherwise.

Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Delaware, USA.

Any disputes arising under this Agreement shall be resolved through binding arbitration conducted in accordance with the rules of the American Arbitration Association.

Users waive the right to participate in class-action lawsuits or class-wide arbitration.

Miscellaneous

This Agreement, together with the Privacy Policy and any Supplemental Agreements, constitutes the complete agreement between the parties.

If any provision is found to be invalid or unenforceable, it will not affect the remaining provisions.

Moras shall not be liable for any failure or delay due to events beyond its reasonable control.

Moras may assign its rights and obligations under this Agreement without consent, but users may not assign their rights without Moras' written consent.
